8. EMPLOYMENT RESTRICTIONS; NON-SOLICITATION
8.1 For the purpose of this clause, an “Employee” refers to any individual employed by either party before or during the period in which services are provided under this Agreement.
8.2 During the term of services and for a period of twenty-four (24) months thereafter, SrijanWeb Digital Marketing Private Limited agrees not to solicit, induce, or hire any Employee of the Client without the Client’s prior written consent. Similarly, the Client agrees not to solicit, induce, or hire any Employee of SrijanWeb without SrijanWeb’s prior written consent.
9. ASSIGNMENT AND SUBCONTRACTING
9.1 Neither party may assign or transfer this Agreement, any related statement of work, or any rights or obligations under it without the prior written consent of the other party. However, either party may assign this Agreement to a third party that acquires substantially all of its business or assets. SrijanWeb Digital Marketing Private Limited may also subcontract its services to its wholly owned subsidiaries or third-party service providers, provided that SrijanWeb remains fully responsible and liable for their actions and omissions.
9.2 The Client shall not assign or transfer this Agreement to any direct competitor of SrijanWeb Digital Marketing Private Limited under any circumstances.
10. CLIENT CONTENT; INTELLECTUAL PROPERTY OWNERSHIP
10.1 The Client represents and warrants that all text, images, graphics, designs, trademarks, source code, and other materials provided to SrijanWeb for use in the services are either owned by the Client or used with proper permissions and licenses.
10.2 The Client agrees to indemnify and hold SrijanWeb harmless from any claims, damages, or liabilities arising out of infringement or misuse related to materials provided by the Client.
10.3 SrijanWeb shall retain full copyright and ownership of all source code, designs, and project deliverables created during the course of the engagement until full and final payment is received. Upon receipt of complete payment, ownership of the agreed deliverables shall transfer to the Client.
11.TERMINATION AND CANCELLATION
11.1 Either party may terminate the Agreement by written notice, subject to the following notice periods:
- Large projects: Three (3) months;
- Small to medium projects: One (1) month;
- Ongoing Time & Materials projects: One (1) week.
11.2 Advance payments are non-refundable upon termination.
11.3 In case of termination, Client shall pay all fees due for services rendered through termination date.
12. PAYMENTS AND TAXES
14.1 All payments shall be made against valid invoices issued by SrijanWeb Digital Marketing Private Limited through acceptable modes such as cheque, bank transfer, online payment, or other approved payment methods, payable to “SrijanWeb Digital Marketing Private Limited.”
14.2 All fees and charges are exclusive of applicable taxes, duties, or government levies, which shall be borne by the Client unless otherwise stated.
14.3 Where applicable, the Client shall provide valid Tax Deducted at Source (TDS) certificates to SrijanWeb at the time of payment in accordance with Indian tax laws.
14.4 Any payment not received by the due date may attract a late payment charge at the rate of 1.5% per month, compounded monthly, along with any reasonable costs incurred for collection.
